Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Entropic desktop application, the managed API and billing services available at entropic.qu.ai, and any related web services (collectively, the "Service"). Entropic is operated by Dominant Energy Inc. ("Entropic", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

2. Acceptance of Terms

By downloading, installing, or using Entropic, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

3. Description of Service

Entropic is a desktop AI assistant that runs OpenClaw in a hardened local container on your machine. The Service includes the desktop application, which provides a sandboxed environment for AI-powered tools, code execution, file management, and third-party integrations. Entropic also provides a managed API that handles model routing and billing through entropic.qu.ai, allowing you to access multiple AI model providers through a single interface.

4. No Warranty / "As-Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ENTROPIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

5. AI Output and Code Execution Disclaimer

Entropic uses third-party AI models to generate responses, code, commands, and other content, and can execute code and commands on your behalf within local containers and on your system. You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, or misleading.
• AI models may produce hallucinated information that appears plausible but is factually incorrect.
• AI-generated content may occasionally include harmful, biased, or inappropriate material.
• AI-generated code may contain bugs, security vulnerabilities, or destructive operations that could damage your system, delete data, or compromise security.
• Commands executed by the agent — whether AI-generated or initiated through tools, skills, or automations — may have irreversible effects on your local system, files, accounts, and connected services.
• AI outputs are not a substitute for professional advice, including but not limited to legal, medical, financial, or engineering advice.
• You are solely responsible for reviewing, verifying, and validating any AI-generated output, code, or commands before relying on or executing them.

6. User Responsibility for Agent Actions

Entropic provides an AI agent that acts on your behalf. You are the principal, and the agent operates as your delegate. You acknowledge and agree that:

• You are solely responsible for all actions taken by your agent, including but not limited to commands executed, files created or modified, messages sent through connected channels, API calls made, and any interactions with third-party services.
• You are responsible for configuring appropriate permissions, sandbox settings, and tool policies to limit agent behavior to your intended use.
• You are responsible for monitoring and supervising your agent's activity, including scheduled and background tasks.
• Any harm, loss, or liability arising from your agent's actions — including actions you did not explicitly intend — is your responsibility and not the responsibility of Entropic, Dominant Strategies Inc., or Dominant Energy Inc.
• Entropic provides sandboxing, approval prompts, and other safety mechanisms as tools to help you manage risk, but these mechanisms are not guaranteed to prevent all unintended outcomes.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Generate, distribute, or store malware, viruses, or other malicious software.
• Send spam, unsolicited messages, or bulk automated messages through connected messaging channels.
• Harass, threaten, impersonate, or intimidate any person.
• Attempt to gain unauthorized access to any system, network, or account.
• Interfere with or disrupt the integrity or performance of the Service or any third-party service.
• Use the Service to generate content that exploits or harms minors.
• Circumvent or disable any security, sandboxing, or access control features of the Service.

Violation of this section may result in immediate suspension or termination of your access to the Service.

8. Local Execution Risk

Entropic runs Docker containers locally on your machine to provide a sandboxed execution environment. You are responsible for your local environment, including ensuring adequate system resources, maintaining the security configuration of your operating system and Docker installation, and managing any software or data within the local container. Entropic is not responsible for any damage to your system, data loss, or security incidents arising from the local execution of containers or tools on your machine.

9. Third-Party Integrations

Entropic supports integrations with third-party services, including but not limited to iMessage, Google Calendar, Gmail, Slack, Discord, WhatsApp, and Telegram. You acknowledge and agree that:

• Third-party integrations are subject to their own terms of service and privacy policies.
• Entropic is not responsible for the availability, accuracy, or data handling practices of any third-party service.
• Service outages or changes by third-party providers may affect the functionality of Entropic integrations.
• You are responsible for ensuring your use of integrations complies with the applicable third-party terms.

10. Third-Party Skills, Extensions, and Software

Entropic and OpenClaw support skills, extensions, plugins, MCP servers, and other third-party software that may be developed by third parties and obtained from any source, including but not limited to ClawHub, GitHub, npm, package registries, direct downloads, or custom repositories. You acknowledge and agree that:

• Third-party skills, extensions, plugins, MCP servers, and other software obtained from any source are not developed, maintained, audited, or endorsed by Entropic, Dominant Strategies Inc., or Dominant Energy Inc., regardless of where they are distributed.
• Third-party software may access files, execute arbitrary code, make network requests, exfiltrate data, modify system configuration, or interact with your connected services and accounts.
• Entropic, Dominant Strategies Inc., and Dominant Energy Inc. are not liable for any damage, data loss, security breach, credential compromise, or other harm caused by any third-party software you install or run through the Service, whether obtained from ClawHub or any other source.
• You are solely responsible for evaluating the trustworthiness, safety, and provenance of any software you install, configure, or allow to run within Entropic or OpenClaw.
• While Entropic may provide moderation and scanning tools for certain distribution channels, these measures are provided on a best-effort basis and are not guaranteed to detect all malicious, vulnerable, or harmful content.
• You assume all risk associated with installing and running third-party software, and you are responsible for any consequences arising from such use.

11. Account and Billing

If you use the Entropic managed API, billing is processed through Stripe on a pay-as-you-go basis. You are responsible for all charges incurred under your account, including but not limited to:

• AI model usage fees incurred through agent queries, background tasks, scheduled automations, and any other agent activity routed through the Entropic API.
• Third-party API and service fees managed through Entropic, such as the X (Twitter) API, and any other paid integrations or skills that incur usage-based charges.
• Any charges resulting from agent actions, including automated or recurring tasks, regardless of whether those actions were explicitly initiated or ran autonomously.

You agree to provide accurate and complete billing information and to keep it up to date. It is your responsibility to monitor your usage and configure spending limits or disable automations as needed. Entropic reserves the right to suspend or terminate access to the managed API for non-payment or suspected fraudulent activity.

12. No Duty to Monitor

Entropic has no obligation to monitor, review, or audit your use of the Service, your agent's actions, or any content generated, transmitted, or stored through the Service. However, Entropic reserves the right to monitor, review, or investigate usage at any time and to take any action we deem appropriate, including suspending or terminating access, reporting activity to law enforcement, or cooperating with legal authorities.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENTROPIC, DOMINANT STRATEGIES INC., DOMINANT ENERGY INC., OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ENTROPIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF ENTROPIC, DOMINANT STRATEGIES INC., AND DOMINANT ENERGY INC. SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU HAVE PAID TO ENTROPIC IN THE ONE (1) MONTH PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US $50.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless Entropic, Dominant Strategies Inc., Dominant Energy Inc., and each of their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your agent's actions, content generated or transmitted through the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Mandatory Binding Arbitration. You and Entropic agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited. The arbitration shall be conducted in the State of Texas, or at another mutually agreed location, and shall be conducted in English. The arbitrator shall apply the substantive laws of the State of Texas, without regard to conflict of law principles.

Class Action and Jury Trial Waiver. YOU AND ENTROPIC AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN OR BRING CLAIMS ON A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE BASIS. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. YOU AND ENTROPIC EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court, provided the claim is not brought on a class or representative basis.

Opt-Out Right. You may opt out of this arbitration and class action waiver provision by sending written notice to team@dominantenergy.io within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of this arbitration provision. If you opt out, you and Entropic may pursue Disputes in court, but the class action waiver and jury trial waiver above shall still apply to the maximum extent permitted by law.

Severability. If any portion of this Dispute Resolution section is found to be unenforceable, the remainder shall continue to apply. If the class action waiver is found to be unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and proceed in court while the remaining claims remain subject to arbitration.

16. Termination

Entropic may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, Dispute Resolution, User Responsibility for Agent Actions, and No Warranty) shall survive.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. To the extent any litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Texas.

18. Changes to Terms

We may modify these Terms at any time by posting the revised version on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
